Aegon’s EGM approves redomiciliation and Omnibus Incentive Plan

Aegon Ltd., an international financial services holding company, has announced that its Extraordinary General Meeting of Shareholders (EGM) approved both the redomiciliation and the Omnibus Incentive Plan proposal, authorising Aegon to proceed with its redomiciliation to the US.

Aegon logoDuring its Capital Markets Day in December 2025, Aegon announced plans to move its head office and legal seat to the United States.

Aegon expects to proceed with the redomiciliation on 15 October 2026, with the repurchase of all outstanding Common Shares B held by Vereniging Aegon in exchange for common shares with equal voting rights on a 40-to-1 basis. Upon completion, the interim bye-laws approved at the EGM will become effective.

These changes form part of an agreement with Aegon’s largest shareholder, Vereniging Aegon.

From 15 October, Vereniging Aegon will be renamed Vereniging Aegon Americas and will continue to hold a stake of approximately 18.4% in Aegon. The charitable activities of Vereniging Aegon in the Netherlands will continue under the newly established Stichting Aegon Fonds Nederland.

Aegon also announced that its next Capital Markets Day will take place in New York City on 9 December 2027.
