Permira and Warburg Pincus-led investor group complete Clearwater acquisition

The acquisition of Clearwater Analytics (CWAN) by an investor group led by Permira and Warburg Pincus has been completed in a transaction valued at approximately $8.4 billion.

Clearwater stockholders were paid $24.55 per share in cash as part of the agreement. This price reflects a premium of approximately 47% compared to the company’s undisturbed share price on November 10, 2025, which was the final trading day before the deal was announced.

Following the close of the transaction, which included backing from Francisco Partners and involvement from Temasek, the company’s Class A common stock has been delisted from the New York Stock Exchange.

The transaction followed a thorough review process overseen by a Special Committee of independent and disinterested members of the Clearwater Board of Directors, which unanimously recommended approval of the transaction.

The transaction positions Clearwater to accelerate investment in its AI roadmap and next-generation platform.

By leveraging its comprehensive data foundation and the support of Permira and Warburg Pincus, Clearwater will operate as a private entity with increase flexibility, a move that allows the company to enhance its agentic capabilities for institutional investors managing over $10 trillion in global assets.
