Zurich’s £8.1bn Beazley acquisition to complete October 1 following regulatory clearance

Zurich Insurance and Beazley have confirmed that Zurich’s recommended all-cash acquisition of the London-headquartered specialist insurer is on track to take effect on 1 October 2026, after all required regulatory approvals were secured.

zurich-beazley-logosIn a joint update issued today, the two firms confirmed that every regulatory approval required for the transaction has now been satisfied.

The deal was first announced on 2 March 2026, when Zurich agreed to acquire Beazley in an all-cash transaction worth £8.1 billion ($10.8bn), bringing together “two highly complementary businesses to establish a global leader in Specialty insurance.”

At the time, Mario Greco, Chief Executive Officer of Zurich, commented, “This Transaction is a strong step in accelerating Zurich’s Specialty strategy.

“Together with Beazley, we will create the world’s leading Specialty underwriter, with around $15 billion of pro forma gross written premiums, exceptional underwriting expertise and data capabilities, and leading access to global distribution.

“Leveraging Beazley’s established Lloyd’s platform, the Combined Specialty Business will be headquartered in London and will be a powerful platform for long-term growth in Specialty lines.”

The acquisition is being implemented via a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006.

Full terms were set out in the scheme document published on 26 March 2026, and Beazley shareholders approved the deal on 22 April 2026.

With regulatory approvals now satisfied, completion reportedly remains subject to the satisfaction or waiver of a few final conditions: sanction by the Court at a hearing scheduled for 22 September 2026, followed by delivery of a copy of the Court Order to the Registrar of Companies.

Subject to these remaining conditions being met, the Effective Date is expected to be 1 October 2026, with payment expected to reach Beazley shareholders by 15 October 2026.
