A wholly owned subsidiary of Sompo International Holdings Ltd. has formalised an agreement to acquire Fator Seguradora in Brazil, which focuses on corporate insurance and business risk management solutions, with particular strength in Property, Surety, and Financial Lines.
The transaction remains subject to customary regulatory approvals. Once completed, Sompo said the acquisition will represent a significant step in its strategy to strengthen its position in Brazil’s corporate insurance market by expanding its portfolio of specialised, higher value-added solutions.
Pending regulatory approval, both companies will continue to operate independently, with no changes to their day-to-day operations. Their commercial teams will maintain normal business activities, ensuring continuity of service for brokers and clients.
Value Capital acted as financial adviser to Sompo, while Mattos Filho served as legal counsel. KPMG Brasil provided actuarial and operational advisory services.
Fator Seguradora was advised by Goldman Sachs as financial adviser, with Machado Meyer acting as legal counsel.
